ARTICLES OF INCORPORATION OF A NON-PROFIT ORGANIZATION


I.  TITLE, LOCATION, AFFILIATION AND PURPOSE

 

A.  The name of the Corporation shall be “The Minnesota State Pony of the Americas, Inc.”  Hereafter referred to as the “Club.”

 

B.  The Club is affiliated with the PONY OF THE AMERICAS CLUB, INC., Incorporated in Mason City, Iowa, Currently residing in Indianapolis, Indiana hereinafter referred to as the PONY OF THE AMERICAS CLUB, INC.

 

C.  The Club shall be headquartered with the current Chair/President of the Club.

 

D.  The purpose of the Club shall be:

 

 1.  To cooperate with and aid, in every way possible, the programs and functions of the PONY OF THE AMERICAS CLUB, INC.

 

 2.  Recognizing that the parent organization, the PONY OF THE AMERICAS CLUB, INC., files records and issues certificates of registration for such ponies thought to be fit for foundation stock, the primary function of the Club will be to promote interest in the breed from a state standpoint in complete cooperation with the overall program of the PONY OF THE AMERICAS CLUB, INC.

 

 3.  To gain proper publicity for the Club.

 

 4.  To gain breeding and performance classes for Pony of the Americas registered in the PONY OF THE AMERICAS CLUB, INC., in local, county, district and state horse and pony shows and fairs in the state of Minnesota.

 

 5.  To forward historical data, bloodline records and general information, etc. to the Secretary of the PONY OF THE AMERICAS CLUB, INC.

 

 6.  To promote and stimulate interest in the National PONY OF THE AMERICAS shows and sales for Pony of the Americas registered in the PONY OF THE AMERICAS CLUB, INC.

 

 7.  To make an annual report of the Club’s activities to the PONY OF THE AMERICAS CLUB, INC., 30 days after the annual meeting.

 

II. MEMBERSHIP

 

A.  Any person who is a member in good standing of the PONY OF THE AMERICAS CLUB, INC., is eligible to become a member.

 

    
B.  Membership fee for this state club shall be $12 for a family membership and $12 for a single membership.

   
1.  The membership fee shall be paid on application for membership.

 

2.  Annual dues shall become due on January 1st of each year after becoming a member.

 

C.  All money received from membership fees and annual dues will be used for breed advertisements, expenses of state shows and sales, breed promotion work, awards and other work in connection with the purpose of this Club.

 

D.  Each member shall have the privilege of one vote at the annual meeting in election of directors of this state club.  Directors shall elect officers at an annual meeting of this state club.

 

E.  Membership is good for one year and it will be renewed each year on receipt of the annual dues, provided the said dues are received within ninety days after they become due.

 

F.  The membership is non-transferable.

 

G.  Those members abusing or misusing their privileges of membership shall have their membership revoked by the Board of Directors by a majority vote.

 

H.  The corporation formed herby shall have no capital stock, and shall be composed of members rather than shareholders, and no dividends or pecuniary profit shall be declared or paid to the members hereof.


III. BOARD OF DIRECTORS

 

A.  Property, funds and affairs of the club shall be directed by “The Minnesota State Pony of the Americas, Inc. Club’s Directors.

 

B.  Any officials of the PONY OF THE AMERICAS CLUB, INC., may be present at a Board of Directors meeting and join in discussions.

 

C.  The Board of Directors shall consist of seven persons who shall take whatever action is deemed necessary to carry out the purposes of this Club.  The Directors will install a Chair/President, Vice Chair/Vice President, Secretary and Treasurer after the yearly election of the Board at the Annual Meeting.

 

IV. MEETINGS AND ELECTIONS

 

A.  The annual meeting of the members of this Club shall be at such place and time as the Board of Directors shall designate.

 

B.  Directors will be elected to office for 3 year terms.  Each year after 2009 the club will elect two new directors staggering the terms.  OR 7 DIRECTORS WILL BE ELECTED EACH YEAR.

 

C.  Notice of the meeting shall be given in writing to the members not less than thirty days before the meeting.

 

D.  The Secretary shall send to the Secretary of the PONY OF THE AMERICAS CLUB, INC., a copy of the minutes of the annual meeting 30 days after the annual meeting.

 

V.  PONY OF THE AMERICAS INC.
BREED, CHARACTERISTICS, AND COLOR

 

A.  The characteristics and color desired, promoted, and advocated by the National PONY OF THE AMERICAS CLUB, INC.  shall be those adopted by this State PONY OF THE AMERICAS CLUB, INC.

 

VI. AMENDMENTS

 

A.  This charter may be amended at any annual meeting by an affirmative vote of two-thirds of the members present at the meeting.

 

B.  Purposed amendments should be sent in writing to the Secretary of this Club so that they may appear on the notice of the annual meeting.

 

C.  There must be at least 4 of the 7 board members present to change these Articles of Incorporation.

 

VII. DURATION

 

A.  The duration of this non-profit corporation shall be perpetual.

 

VIII. MEMBER’S LIABILITY

 

A.  The private property of the members of this corporation shall not be liable for its corporate debts or obligations.
